What happens to quality
Both formats are lossless, so the conversion is exact: every pixel of the ICO comes out unchanged in the PNG, and there is no quality setting to get wrong. PNG is the right target for logos, icons, diagrams and screenshots of text, and for anything that will be edited and saved again.
What happens to transparency
ICO and PNG both have an alpha channel, so transparent and semi-transparent pixels come through as they are — a logo on a transparent background stays on a transparent background.
Which size of the icon is converted
An ICO usually holds the same icon several times, from 16 to 256 pixels. Your browser picks the largest one to decode, so the PNG you get is the sharpest version the file contains — not the 16-pixel tab icon.
